EULA - End User License Agreement

License Agreement

By using any part of this software, you agree to the following terms and conditions. If you do not agree to these terms, you are not allowed to use any part of the software.

1. Grant of license
Pavel Werl, based at Fryčajova 290/156, Brno, 614 00, Czech Republic (referred to as 'licensor' hereinafter) grants you a worldwide, non-exclusive, non-transferable, perpetual license to use the enclosed copy of software in accordance with the terms set forth in this license agreement.

2. Ownership
The software is owned by the licensor, and you have no ownership rights in the software.

3. Copyright
The software is protected by copyright laws and international treaties. All rights not granted to you herein are expressly reserved by the licensor.

4. Restrictions
You may not sell, resell, charge for, sub-license, rent, lease, loan, vary, modify, alter, translate, repackage, publish, display, disclose, distribute, or create derivative works based on the software or any part thereof without prior written consent of the licensor.

You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the software for any intents and purposes other than to inspect the software for the presence of intentional or inadvertent backdoors, security vulnerabilities, exploits, malicious code, and other forms of security risks.

5. Publicity
You grant the licensor the right to include your company's name and logo on the licensor's website and other promotional materials strictly for the purpose of showcasing your company as the licensor's customer. You may revoke this right at any time by a written request, after which the licensor will remove your company's name and logo from the licensor's website and other promotional materials under his control as soon as possible or within 30 days (whichever occurs later).

6. Disclaimer of warranty
This software is provided to you by the licensor 'as is', with all its faults. To the maximum extent permitted by law, the licensor disclaims all warranties of any kind, expressed, implied, statutory or otherwise, including, but not limited to, warranties of title, merchantability, fitness for a particular purpose and satisfactory quality.

7. Disclaimer of liability
In no event shall the licensor be liable to you or any third party on any legal theory for any damages, claims or costs whatsoever (whether in contract, strict liability, tort, negligence or otherwise), arising in any way out of this license or the use of the software or the inability to use the software (including, but not limited to, loss of data, business, or profits; business interruption; any direct, indirect, special, incidental, consequential, punitive or exemplary damages; or otherwise), even if the licensor has been advised of the possibility of such damages. The foregoing limitations and exclusion apply to the fullest extent permitted by applicable law.

8. Indemnification
You hereby disclaim and indemnify the licensor and all his subsidiaries, employees, affiliates, officers, partners, representatives and agents from any claims, demands or complaints about your use of the software, or arising in any way related to your use of the software.

9. Lawful use
You agree that you will use the software in compliance with all applicable local, state, national and international laws, orders and regulations. Furthermore, you agree to comply with the laws, regulations, orders and other restrictions on the export of the software from the Czech Republic.

10. Termination
Both you and the licensor may terminate this license agreement at any time and for any reason. This license agreement and the rights granted hereunder shall terminate automatically upon any breach by you of the terms of this license. Upon termination of this license agreement, you must immediately cease all further use of the software and irreversibly destroy all copies of the software in your possession or under your control.

Sections 2, 3, 4, 5, 6, 7, 8, 10, and 11 will survive any termination of this license howsoever caused.

11. Jurisdiction
This license agreement and any disputes or claims arising out of or in connection with it or its subject matter or its formation (including non-contractual disputes or claims) shall be construed, interpreted and governed by the laws of the Czech Republic without regard to conflicts of law provisions thereof. The exclusive forum for any disputes relating to this license agreement shall be an appropriate court sitting in the Czech Republic.

12. General
This license agreement constitutes the entire agreement between the parties hereto. If any provision of this license is invalid or unenforceable under applicable law, the remainder of this license agreement shall be interpreted so as to reasonably effect the intention of the parties.
